Blue Cloud Softech to acquire US-based Global Impx to build AI-led infra platform

Blue Cloud Softech Solutions Limited (BCSSL) on Tuesday said its board has approved the acquisition of 100% stake in Global Impx Inc. (GIX) through an all-share transaction, as the company looks to pivot towards building an AI-driven energy and digital infrastructure platform.
The proposed deal, valued at about ₹372.81 crore based on an independent valuation, signals a strategic shift for BCSSL from a diversified technology services provider to a technology-enabled infrastructure player operating at the convergence of artificial intelligence, clean energy and digital infrastructure. The transaction remains subject to regulatory, corporate and shareholder approvals, including a special resolution at an extraordinary general meeting scheduled for May 4.
Through the acquisition, BCSSL aims to establish a presence in energy-backed data centres and AI compute ecosystems, a segment seeing rising demand as computing infrastructure becomes increasingly energy-intensive. GIX brings capabilities across distributed energy systems such as solar, battery storage and microgrids, along with energy-as-a-service (EaaS) models and AI-led energy optimisation platforms, including virtual power plant technologies. The platform also has project execution experience in large-scale infrastructure.

A key asset underpinning the transaction is a planned data centre platform in Chhatrapur, Odisha, being developed through GIX’s step-down subsidiary Geo Impex & Logistics Private Limited. The project involves around 196.7 acres of land near Gopalpur Port, with approvals from the Odisha Industrial Infrastructure Development Corporation, and is planned as a phased development scaling from 5 MW to 25 MW and eventually to 100 MW hyperscale capacity.
Following completion of the deal, GIX will become a wholly owned subsidiary of BCSSL, with multiple entities including ConnectM Technology Solutions Private Limited and Cambridge Energy Resources Private Limited coming under its fold. BCSSL also plans to establish a dedicated AI and data centre infrastructure vertical focused on integrating renewable energy systems, battery-backed infrastructure and AI-led energy optimisation into data centre operations.

Chairman Janaki Yarlagadda said the move aligns with the company’s long-term vision of building a globally relevant, technology-led infrastructure platform.

The company expects the platform to enable diversified revenue streams across infrastructure development, long-term data centre and energy service contracts, and recurring digital services, while also opening up opportunities for strategic partnerships and future capital raising.
